1. Acceptance of Terms

By accessing or using Unovie.AI's Edge AI solutions, digital twin technologies, and industrial IoT analytics services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

These Terms, together with our Privacy Policy and any Service Level Agreements (SLAs), constitute the entire agreement between you and Unovie.AI.

2. Description of Services

Unovie.AI provides industrial AI solutions including:

  • Edge AI platforms for real-time data processing and analytics
  • Digital twin solutions for industrial operations optimization
  • Predictive maintenance and quality control systems
  • Cybersecurity threat detection and prevention
  • Industrial IoT data analytics and visualization
  • GPU MicroCloud infrastructure for AI workloads

Our services are designed for industrial, manufacturing, and enterprise customers seeking to leverage AI for operational excellence.

3. Customer Responsibilities

As a customer of Unovie.AI, you agree to:

  • Provide accurate and complete information for service setup
  • Maintain the security of your access credentials
  • Use our services in compliance with applicable laws and regulations
  • Not attempt to reverse engineer or decompile our proprietary software
  • Not use our services for any illegal or unauthorized purpose
  • Implement appropriate security measures for your industrial systems
  • Report any security incidents or vulnerabilities promptly

4. Intellectual Property Rights

4.1 Unovie.AI Intellectual Property

Unovie.AI retains all rights, title, and interest in our proprietary software, algorithms, models, and technology. This includes but is not limited to:

  • AI models and machine learning algorithms
  • Edge computing infrastructure and software
  • APIs and integration interfaces
  • Documentation and training materials
  • Trade secrets and know-how

4.2 Customer Data

You retain all rights to your data processed through our services. We do not claim ownership of your industrial data, analytics results, or insights generated from your data.

5. Confidentiality

5.1 Definition of Confidential Information

"Confidential Information" includes all non-public information disclosed by either party, including:

  • Technical specifications, algorithms, and source code
  • Business plans, financial information, and customer lists
  • Industrial processes, manufacturing data, and operational metrics
  • Any information marked as confidential or that should reasonably be considered confidential

5.2 Confidentiality Obligations

Both parties agree to:

  • Maintain the confidentiality of all Confidential Information
  • Use Confidential Information solely for the purpose of providing/receiving services
  • Restrict access to Confidential Information to employees with a need-to-know
  • Implement security measures appropriate for the protection of industrial data

5.3 Special AI Data Protection

For AI training and model improvement, we implement additional confidentiality measures including differential privacy, federated learning, and data anonymization to ensure your industrial data remains confidential.

6. Data Processing and Security

We process your data with the highest security standards:

  • End-to-end encryption for data transmission
  • AES-256 encryption for data at rest
  • Secure enclaves for AI model processing
  • Regular security audits and penetration testing
  • Compliance with ISO 27001 and NIST frameworks

For on-premises deployments, we provide secure isolation and containerization to ensure your data never leaves your infrastructure.

7. Service Level and Availability

We strive to provide high availability for our services:

  • Cloud services: 99.9% uptime SLA
  • Edge services: 99.5% uptime SLA
  • Real-time processing: Sub-500ms response time
  • Support response times based on service tier

Detailed SLAs are provided in separate Service Level Agreements specific to your service package.

8. Limitation of Liability

To the extent permitted by law:

  • Our liability is limited to the fees paid for the service in the preceding 12 months
  • We are not liable for indirect, consequential, or punitive damages
  • We are not liable for downtime or data loss due to customer actions or third-party services
  • Critical infrastructure customers may opt for enhanced liability protection through separate agreements

This limitation does not apply to damages caused by our gross negligence or willful misconduct.

9. Indemnification

You agree to indemnify and hold Unovie.AI harmless from:

  • Any breach of these Terms by you or your users
  • Violation of applicable laws or regulations
  • Infringement of third-party intellectual property rights
  • Any claims arising from your use of the services in combination with other systems

10. Term and Termination

These Terms remain in effect as long as you use our services. Either party may terminate:

  • For cause with 30 days written notice
  • Without cause for subscription services with 90 days written notice
  • Immediately for material breach of confidentiality provisions

Upon termination:

  • You must cease using our services
  • We will provide data export within 30 days
  • Payment obligations through the termination date remain
  • Confidentiality obligations survive termination

11. Compliance and Legal

You agree to comply with all applicable laws and regulations including:

  • GDPR for EU data processing
  • CCPA for California privacy rights
  • Industry-specific regulations (e.g., OSHA, FDA, NERC CIP)
  • Export control laws and regulations

We provide tools and documentation to support your compliance efforts, including data processing addendums and compliance reports.

12. Dispute Resolution

Any disputes arising from these Terms shall be resolved as follows:

  • Good faith negotiations between parties
  • Mediation in Austin, Texas if direct resolution fails
  • Binding arbitration under Texas law
  • Critical infrastructure disputes may be subject to expedited resolution

13. Changes to Terms

We may update these Terms occasionally. We will:

  • Post changes on our website
  • Provide 30 days notice for material changes
  • Email enterprise customers of significant updates
  • Allow continued use to constitute acceptance
